Terms and Conditions

These Terms and Conditions ("Terms") govern the access to and use of VIRSAT LLC's ("VIRSAT", "we", "our") corporate website, enterprise simulation software, hardware staging services, and augmented reality field tools. By accessing our platforms or executing a commercial order, you agree to be bound by these Terms.

Enterprise B2B Agreement

These terms govern enterprise licensing for VIRSAT simulation software, hardware provision, and implementation services.

Proprietary IP

All 3D assets, simulation logic, and AR/VR methodologies remain the exclusive intellectual property of VIRSAT LLC.

Safety Disclaimer

Our simulations are supplemental training tools. Clients remain solely responsible for actual on-site HSE compliance.

1. Scope of Products and Services

VIRSAT provides specialized health, safety, and environmental (HSE) training solutions for high-consequence industries such as Oil & Gas, Construction, Manufacturing, and Road Logistics. Our products are offered strictly on a Business-to-Business (B2B) enterprise basis and include:

  • VR Software Licenses: Life-Saving HabitsAWARE™, Life-Saving HabitsPRO™, Driving Pro Black Top™, and Process Safety™ (PSF1-10).
  • Physical Simulators: Graded Road Simulator™ (including hardware procurement and calibration).
  • AR Field Tools: HeadSafe™ for operational verification.
  • Implementation Services: Hardware staging, trainer enablement, and LMS integration rollouts.

2. Software License and Restrictions

Subject to the execution of a Master Services Agreement (MSA) and payment of applicable fees, VIRSAT grants the client a limited, non-exclusive, non-transferable license to access and use the provided VR/AR simulation modules exclusively for internal workforce training.

Clients shall not:

  • Reverse engineer, decompile, or attempt to extract source code or 3D assets from our simulations.
  • Resell, sublicense, or offer VIRSAT training modules as a commercial service to third parties (unless explicitly authorized as a certified Training Center).
  • Modify or create derivative works based on the Life-Saving Habits™ curriculum, Confined Space Entry, Working at Height, or Defensive Driving modules provided.

3. Hardware Staging and Client Responsibilities

Where VIRSAT provisions physical hardware (e.g., VR headsets, 6-DoF driving simulator rigs, or AR smart glasses) as part of our Service Implementation:

  • Environment Setup: The client is responsible for providing a safe, clear physical space for VR usage, free of tripping hazards.
  • Hygiene and Maintenance: The client assumes responsibility for the routine sanitization of headsets and the safe storage of equipment.
  • User Comfort: A small percentage of users may experience "VR sickness." It is the client's responsibility to supervise trainees and allow them to immediately halt training if discomfort occurs.

4. Safety Disclaimer and Limitations

VIRSAT simulations—including Energy Isolation, Hot Work, Excavation, and Desert/Graded Road Driving—are highly immersive educational tools designed to improve hazard recognition and procedural compliance. However, they are supplements to, not replacements for, hands-on supervision and real-world certification.

VIRSAT does not guarantee that completion of a simulation will result in zero on-site accidents. The client retains absolute liability for maintaining safe working environments, verifying employee competency, and complying with all local, national, and industry HSE regulations.

5. Intellectual Property

All content on the VIRSAT website and within our applications—including but not limited to text, 3D graphics, user interfaces, visual design, audio, simulation telemetry algorithms, and the underlying codebase—is the exclusive intellectual property of VIRSAT LLC and is protected by international copyright and trademark laws.

6. Data Privacy and Telemetry

The collection and processing of personal data, including website analytics and enterprise simulation telemetry (e.g., tracking hazard identification scores or procedural adherence), is governed by our Privacy Policy. By using VIRSAT products, you consent to the data practices outlined therein.

7. Governing Law and Jurisdiction

Given our operational hubs, these Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates (for operations processed through our Abu Dhabi regional office) and the State of Texas, USA (for operations processed through our North American headquarters), without regard to conflict of law principles.
